Definitions

In these Terms of Service ("Terms"), unless the context otherwise requires, the following terms have the meanings set out below:

User

The individual or entity accessing and using the Launchpad Platform. The User is responsible for all actions taken under their Account.

Service

The cloud-based CI/CD orchestration and release automation platform provided by Launchpad, including the software, APIs, and related services.

Account

The unique login identifier and associated profile created by the User to access the Service.

Content

Any code, scripts, configurations, logs, or data uploaded, stored, or processed by the User via the Service.

Acceptable Use Policy

The User agrees to use the Service only for lawful purposes and in accordance with these Terms. The User may not use the Service for any of the following prohibited activities:

Prohibited Activities

Illegal Acts: Using the Service to facilitate any illegal activity, including but not limited to fraud, malware distribution, or hacking.

Unauthorized Access: Attempting to gain unauthorized access to the Service, other accounts, or computer systems.

Spam: Using the Service to send unsolicited bulk communications or phishing attempts.

Compliance

The User must comply with all applicable laws, regulations, and industry standards regarding data privacy and software distribution.

The User is responsible for ensuring their pipelines do not violate the terms of their third-party dependencies (e.g., cloud provider SLAs).

Payment Terms

The Service is offered on a subscription basis. The User agrees to pay the fees set forth in the applicable pricing plan ("Fees") in accordance with the payment methods selected.

Subscription & Renewal

Subscriptions are billed monthly or annually, depending on the plan selected. Payment is due in advance. Subscriptions automatically renew on a monthly or annual basis unless cancelled at least 30 days prior to the renewal date.

Cancellation

The User may cancel their Account at any time from the Account Settings page. Cancellation will take effect at the end of the current billing cycle. No refunds will be provided for the unused portion of a prepaid term.

Payment Methods

The User agrees to provide current, complete, and accurate purchase and account information for all purchases made at the Store. Launchpad reserves the right to reject any credit card that is declined.

Intellectual Property

Customer Data Ownership: The User retains all ownership rights to any code, data, or content they upload, store, or process using the Service. Launchpad acts solely as a passive conduit for the transmission of this data.

Launchpad Platform Rights: Launchpad owns all rights, title, and interest in and to the Service, including all patents, copyrights, trademarks, and trade secrets. The User grants Launchpad a worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute the Service solely for the purpose of providing the Service to the User.

Open Source: The Service may include open-source software. The User agrees to comply with the licenses of any open-source components they use within their pipelines.

Limitation of Liability

To the maximum extent permitted by applicable law, Launchpad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Indemnification: The User agrees to indemnify, defend, and hold harmless Launchpad and its affiliates, officers, agents, employees, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) Content posted on the Service.

Dispute Resolution & Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Entire Agreement: These Terms constitute the entire agreement between the User and Launchpad regarding the use of the Service and supersede all prior or contemporaneous agreements and communications, whether written or oral.
